Invoice Terms and Conditions for Nafford Junction Social Impact Marketing Consultancy

Acceptance of this invoice signifies your acceptance of the terms and conditions outlined herein. These terms apply to the marketing consultancy services as detailed in the provided quotation or invoice.
Service Description
Nafford Junction is committed to delivering marketing consultancy services in alignment with the “Four Pillars of a Thriving Purpose-Driven Organisation” framework, as specified in our agreement.
Payment Terms
The Launch Plan [here] is invoiced up-front, and payment is due within 10 days to confirm we will work together.
All monthly invoices, including those for the Ongoing Partnership [here] and Marketing And Sales Support Add-On [here], are invoiced on the 1st of each month to cover the month ahead, and payment is due within 10 days.
Impact Hour Add-Ons [here] are invoiced on the 1st of each month for hours completed during the previous month, with payment due within 10 days. A timesheet will be provided to confirm hours used.
If our agreement includes commission: Instead of automated monthly invoices, at the start of each month we’ll check if any commission is due for the previous month, add any hours and/or expenses that need recharging from the previous month, and then we’ll share the invoice.
We offer various payment options for your convenience. Our preferred method is Direct Debit via GoCardless, but we also accept PayPal, Stripe, or bank transfers. The specific payment method will be agreed upon before we commence our work together.
A three-month Launch Plan is mandatory for new clients, followed by the Ongoing Partnership monthly subscription service starting from the fourth month.
Subscriptions can be cancelled with a one-month notice after the initial three-month period.
Meetings, Face to Face, and Travel
We do everything online using Google Meet to keep us efficient, reduce travel time, and reduce pollution.
If we need to travel to meet face to face, we charge our Impact Hour rate [here] to cover travel time plus 45p per mile driven and/or re-charge travel bookings and expenses at cost price + 10%.
Any travel bookings are charged up-front and due within 3 days.
Dispute Resolution and Acknowledgement
Disputes or queries regarding invoices must be addressed in writing within three days of invoice’s delivered status. Delivery is tracked and logged by our accounting system, FreeAgent. If no dispute is raised within three days of the invoice showing as delivered, this will confirm acceptance of the invoice, which will then be considered accepted and payable.
Legal and Compliance
Clients are responsible for ensuring that all marketing activities adhere to applicable legal and compliance requirements, including but not limited to anti-money laundering regulations.
Independent Contractor Status
Nafford Junction operates as an independent contractor under this agreement, responsible for all taxes and fees arising from its activities.
Liability
The client agrees not to hold Nafford Junction liable for any losses or damages related to this agreement, to the fullest extent allowed by law.
Confidentiality
Both Nafford Junction and its clients commit to maintaining the confidentiality of all information received in the course of providing and receiving services. This includes, but is not limited to, personal, financial, or operational information, whether disclosed directly or indirectly. Both parties agree not to disclose such confidential information to any third parties without the prior written consent of the other party, except as may be required by law. This obligation of confidentiality shall survive the termination or conclusion of any services provided.
Non-Competition and Non-Solicitation
Both Nafford Junction and the client agree not to provide services to direct competitors or to solicit business from each other’s clients, nor to solicit or hire each other’s employees, during the term of our work together and for a period of [specific time period, e.g., 12 months] following the termination or conclusion of our services. This agreement is intended to protect both parties’ business interests by preventing potential conflicts of interest and ensuring a committed partnership without competitive interference.
Use of Work
Nafford Junction may use general descriptions of its work with the client in promotional materials, ensuring no sensitive or confidential information is disclosed.
